Our Services
Service Description
Medishift offers a cloud-based Software-as-a-Service platform for digital staff scheduling. Our solution includes features for personnel planning, time tracking, vacation management and reporting.
Availability
We strive for high availability of our platform. Planned maintenance work is announced in advance. However, we cannot guarantee 100% availability.
Registration and Account
Requirements
To use our services, you must have a valid business account. Registration is done through our website or by direct contact. You must be of legal age and authorized to enter into legal obligations.
Account Management
You are responsible for the security of your access credentials and all activities under your account. You must inform us immediately of any unauthorized use.
Use of Services
Permitted Use
You may use our services exclusively for business purposes and in accordance with these terms. Usage must comply with applicable laws and regulations.
Prohibited Use
It is prohibited to use our services for illegal purposes, manipulate the platform, harm other users, or compromise our systems.
Fair Use
You commit to using our services in a reasonable manner and not impairing other users. Excessive use that affects performance is not permitted.
Intellectual Property
Our Rights
All rights to the Medishift platform, including software, design, trademarks and content, remain our intellectual property. You receive only a limited license to use.
Your Rights
You retain all rights to the data and content you enter into our platform. You grant us a limited license to process this data for service delivery.
Data and Privacy
Data Ownership
You retain full control over your data. We only process it in the context of service delivery and in accordance with our privacy policy.
Data Processing
We process your data as a data processor in accordance with GDPR. All data is stored securely and used only for agreed purposes.
Liability
Liability Limitation
Our liability is limited to the amount of fees paid in the last month. We are not liable for indirect damages, lost profits or data loss.
Liability Exclusions
We are not liable for damages caused by force majeure, technical failures outside our control or improper use.
Termination
Termination by Customer
You can terminate your contract at any time with 30 days notice to the end of the month. Termination is done in writing or through our platform.
Termination by Us
We can terminate the contract immediately for serious violations of these terms. In case of payment default, we reserve the right to block access.
Effects of Termination
After contract termination, you have 30 days to export your data. Thereafter, all data will be irrevocably deleted, unless legal retention obligations exist.
Pricing and Payment
Fees
Fees depend on the chosen plan and number of users. All prices are exclusive of statutory VAT.
Price Changes
Price changes are announced at least 30 days before they take effect. For significant increases, you have the right to extraordinary termination.
Taxes
All prices are quoted net. Statutory VAT is calculated and invoiced additionally.
Support and Maintenance
We offer technical support during business hours. Maintenance work is performed outside of peak business hours. Support is available by email, chat or phone depending on the plan.
Governing Law
These Terms of Service are governed by German law. Jurisdiction is Hamburg. In case of disputes, we strive for an amicable solution.
Changes to Terms
We reserve the right to change these Terms of Service. Changes are announced at least 30 days before they take effect. Continued use constitutes acceptance of the new terms.
